🔥 Technical Thursday 🔥 --Comps & Precedent Transactions Analysis Last week, we covered the DCF. This week, we cover Comps & Precedent Transactions Analysis to round out the Big 3 valuation methods -Comparable Companies Analysis- 📌 Matching apples to apples. 🍎 At its core, comps analysis involves spreading financial metrics of very similar companies to determine how they match up against one another You're trying to value Company A: a U.S.-based cybersecurity, SAAS business with a $20bn enterprise value 💵 To find good comps, you want to find as many SIMILAR businesses as possible (3-5) usually works. They should be similar in: -Industry -Business Model -Size -Geography If you check those boxes, you'll spread some multiples such as EV / EBITDA, EV / Sales, and Debt / EBITDA to assess where Company A sits amongst peers To arrive at a valuation, you'll take your median EV / EBITDA and apply it to Company A. This is your comps valuation! ✅ -Precedent Transactions Analysis- 📌 Easy one and similar to comps. Let's revert back to valuing Company A. You want to see if there were any RECENT deals that involved the acquisition of a SIMILAR business by either: a). a strategic buyer (typical operating company--usually a competitor) or b). a financial sponsor (PE firm) The deal must be recent. 🚨 SaaS firm Whatfix raises $125 mn, courts more global clients 🌎 1️⃣ Private equity firm Warburg Pincus LLC Pincus has become the newest investor in Whatfix, a platform for enterprises to improve the user experience of their software applications. Warburg Pincus led the Series E round of $125 million in the SaaS startup. Existing backer SoftBank Vision Fund 2, which held a 13.3% stake before this deal, also pitched in. 2️⃣ The two growth investors have valued Whatfix at $840 million, nearly 50% higher than the mark of $568 million it attained in June 2021. They cited the startup’s track record of serving Fortune 500 companies as a key reason to fund it. Its order book features more than 80 companies of that revenue size, up from 54 three years ago. 3️⃣ Whatfix, founded by Khadim Batti and Vara Kumar Namburu in 2013, recorded more than $75 million in annual recurring revenue in September, up 4.5 times since June 2021 when it raised capital. It hopes to touch $100 million in ARR after three quarters, i.e. by April-June 2025. Its total number of clients has gone up from 382 in December 2020 to 700. FinTech infrastructure startup Parafin secures $125m warehouse facility. Silicon Valley Bank, a division of First Citizens Bank, along with lending partner Trinity Capital., announced that it has provided a $125 million warehouse facility to FinTech infrastructure startup, Parafin. Recently named to the 2024 FinTech Innovation 50, Parafin helps companies, such as marketplaces, vertical SaaS, and payment processors, launch and embed financial services for their sellers. Provided by SVB’s national FinTech practice, the financing facility will support Parafin in providing capital to businesses on premier platforms such as DoorDash and Amazon. Parafin employs a machine learning-based underwriting model based on sales performance to determine eligibility and create personalized financing offers. Since Parafin’s launch in 2020, it has served tens of thousands of businesses and extended $5 billion in offers.
